This page states the Terms of Use (“Terms”) under which you and any organization which you represent (“You” or “User”) may use the DocReviewers.com website and its services as well as other websites and services (“Site”) operated by Venger Technologies Inc. dba DocReviewers.com (“DocReviewers.com”). These Terms include the Privacy Policy, which is incorporated into these Terms by reference.

These Terms constitute a binding agreement between You and DocReviewers.com and each use or access of the Site by You constitutes acceptance of these Terms. These Terms apply regardless of the form of access of the Site, including, without limitation, DocReviewers.com, a third party platform, or any other mode of access. These Terms apply to all employees, agents, affiliates, or other persons acting on behalf of a User, regardless of whether this person’s authority is actual or apparent. You must be 18 years or older to use this Site.

If You do not agree to these Terms, do not use or access the Site.

Use of Site

Site Purpose

This Site allows Users to create individual profiles using personal, employment, and/or other information, including resumes, (“Profile Information”) and makes this Profile Information accessible to other Users who, individually or as representatives of an organization, are seeking to obtain services related to the legal field, such as managed review companies and law firms who are staffing e-discovery, document review, due diligence, or other temporary projects (“Project Hosts”). This Profile Information may also be made available to other Users who, individually or as representatives of an organization, help Users obtain long-term or permanent employment, such as recruiters (“Recruiters”). Additionally, this Site may offer to Users products and services related to the staffing and performance of temporary legal or due diligence projects, the temporary or permanent employment of Users, and the legal industry overall, provided by either DocReviewers.com or third parties who have the explicit written permission of DocReviewers.com. You agree not to use the Site for any other purpose without explicit written permission from DocReviewers.com.

Ensure the Accuracy of Your Profile Information

When You create an account on the Site, You must provide Profile Information that describes You as a natural person and is accurate, complete, and current at all times. If You are a Project Host, Recruiter, or User representing an organization, You must also provide information that describes the organization on whose behalf You are acting or representing, including the name, business address, and a valid method of contact such as a business email address or phone number. This organizational information must be accurate, complete, and current at all times. Failure to ensure the accuracy, completeness, and currency of any portion of Your Profile Information constitutes a breach of these Terms, which may result in immediate suspension or termination of Your account, blocking of Your access to the Site, or other actions as deemed appropriate by DocReviewers.com.

With the purposes of ensuring Your profile is current and accurate as well as to expedite the modification of Your Profile Information, DocReviewers.com may add, modify, or delete portions or all of Your Profile Information without notice to You. DocReviewers.com also may add publicly available information, such a bar license data, to Your Profile Information without notice to You. DocReviewers.com is not liable if any of these additions, modifications, or deletions are inaccurate. You acknowledge and agree You are solely responsible for the form, content, and accuracy of Your Profile Information, including the content and material contained therein, and that You have a duty to periodically review Your Profile Information to ensure it meets this standard.

Accuracy Determinations and Appeals Process

DocReviewers.com has the sole discretion to determine whether Profile Information is considered accurate, complete, and current. You may contact us by email to appeal this initial decision if Your Profile Information has been deemed inaccurate. Upon receipt of this appeal, we will reevaluate the initial decision and issue a response in a timely manner. This response will be written and will include an explanation. No communication from DocReviewers.com will be considered a response unless it is written and contains a title, memo, or subject line that includes “Case Decision.” If You are unsatisfied with this response, You may offer a rebuttal within two weeks of the date of the response. If no rebuttal is received within two weeks, the response will stand as final. If a rebuttal is received by DocReviewers.com within two weeks of the response date, DocReviewers.com will reevaluate Your Profile Information as well as any new information received from You and other sources and make a final decision in a timely manner. This final decision may not be appealed.

Additional Profile Information

DocReviewers.com may collect additional information from Users, Project Hosts, Recruiters, third parties, and public and other sources to add to and enhance Users’ Profile Information, including performance metrics, timekeeping, and screening or background check data (“Additional Profile Information”).

Site Usage Information

DocReviewers.com may collect other information, including telemetric data, from Users and their use of the Site to provide a better experience to Users, to determine which products and services to offer and at which price, as well as for other purposes (“Site Usage Information”).

Case Information

DocReviewers.com may offer products and services that require Users to provide information regarding specific legal matters (“Case Information”) or to access such Case Information.

“Information” Defined

Profile Information, Additional Profile Information, Site Usage Information, Case Information, and User Content (as defined below) will hereafter collectively be referred to as “Information.”

Contacting Unregistered Individuals

DocReviewers.com may offer You the ability to contact individuals who are not Users through the Site, such as references to verify Your previous work experience, colleagues collaborating on a project hosted on the Site, as well as candidates for projects with whom You have previously worked, by providing information about these individuals, such as their name, phone number, email address, current or former employer, and other personal information. You agree to not to abuse the ability to contact individuals who are not Users through the Site by using this ability at an inappropriate frequency or to send spam, advertising, or for any reason other than the purpose for which this ability was created. Please see DocReviewers.com’s Privacy Policy for further details regarding the information of others.

User’s Duty to Protect Information; Confidentiality

You shall use this Site in accordance with all applicable labor, privacy, and data protection laws as well as any attorney-client privileges and confidentiality agreements. You agree all Information on this Site is confidential and either property of DocReviewers.com or licensed to DocReviewers.com. You do not have any property rights in any Information You obtain through this Site or by other means from DocReviewers.com or another User, regardless of whether purchased or obtained without financial cost, unless otherwise stated in these Terms or through explicit written permission provided by DocReviewers.com.

Any Information obtained by You through this Site or by other means must be kept confidential. You shall not disclose any of the Information from this Site or any derivation thereof to any third party without prior written permission from DocReviewers.com. You agree to take appropriate physical, technical, and administrative measures to protect the Information You have obtained from this Site from loss, misuse, unauthorized access, disclosure, alteration, or destruction. DocReviewers.com is not liable for any disclosure of Information, intentionally or accidentally, by You or another User.

You agree to not publicly disseminate any Case Information or derivations thereof, to take appropriate steps to preserve the confidentiality and privilege associated with Case Information and to prevent accidental disclosure of Case Information, and to timely report any such disclosure. Any materials containing Case Information or its derivations must be immediately returned to DocReviewers.com or the appropriate party upon request. If such return is not viable, then the material must be destroyed. DocReviewers.com agrees not to disclose any Case Information You provided to any other party or individual without Your permission except if such individual is another User or the purpose of such disclosure is to determine whether a User has a conflict of interest.

Project Host and Recruiter Verification

If You are a Project Host, Recruiter, or User representing an organization such as a law firm or corporation, You may be contacted by DocReviewers.com by email, phone, or other form of communication to verify Your identity using personal and business information. This information includes, but is not limited to Your Federal Employer Identification Number (EIN), Business Registration information, or a utility bill. This information will be used for internal purposes only, subject to any request by law enforcement or a court order. You may not be able to access portions or the whole of the Site until this verification process is complete. Such access is provided at the discretion of DocReviewers.com and additional means of verification may be requested before access is granted.

DocReviewers.com’s Relationship to You

Your use of the Site does not establish an employer-employee relationship between You and DocReviewers.com or any Project Host, Recruiter, or other third party. You are not an employee, partner, agent, franchisee, associate, or representative of DocReviewers.com or any Project Host, Recruiter, or other third party and nothing shall create an employment, agency, or joint venture relationship between DocReviewers.com and You. Additionally, DocReviewers.com is not and will not be a party to any contracts for services or products between Users unless it explicitly consents in writing to be a party.

You will not claim to be an employee of DocReviewers.com or any Project Host or Recruiter in any manner, including indicating as such on Your resume, unless You have prior written permission to do so from the organization of which You claim to be an employee.

DocReviewers.com does not supervise, direct, or control any User’s performance of services or provision of products. You agree DocReviewers.com is not responsible for the offering, performance, or procurement of any User’s services or products. Users have the right to accept or reject any offers for the performance of services or provision of products for any reason.

DocReviewers.com is not and will not be liable for workers’ compensation or any User’s tax payments or withholding related to that User’s use of or receipt of payments through the Site. Users are responsible for complying with all applicable federal, state, and local tax requirements, including withholding, payment, and submitting filings.

Examples of Prohibited Activities

Without limiting the foregoing and by way of example only, You agree to not:

transmit, post, distribute, store, or destroy material in violation of any applicable law or regulation, including but not limited to laws or regulations governing the collection, processing, or transfer of personal information, or in breach of DocReviewers.com’s Privacy Policy;
take any action that imposes an unreasonable or disproportionately large load on DocReviewers.com’s infrastructure or otherwise interferes with or disrupts the Site;
use any device to navigate or search this Site other than the tools available on the Site, generally available third party web browsers, or other tools explicitly approved by DocReviewers.com;
use any data mining, robots, or similar data gathering or extraction methods;
violate or attempt to violate the security of this Site, including attempting to probe, scan, or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization;
forge any TCP/IP packet header or any part of the header information in any e-mail;
reverse engineer or decompile any parts of this Site;
aggregate, copy, or duplicate in any manner any Information available from this Site, other than as permitted by these Terms;
frame or link to any Information available from this Site, unless permitted by these Terms;
post any content or material that promotes or endorses false or misleading information or illegal activities, or endorses or provides instructional information about illegal activities or other activities prohibited by these Terms;
post any resume or other material on behalf of another party;
defer any contact from a Project Host or Recruiter to any agent, agency, or other third party;
share with a third party any login credentials to this Site;
access data not intended for You or log into a server or account which You are not authorized to access;
post or submit to this Site any incomplete, false, or inaccurate biographical Profile Information or Profile Information which is not Your own;
post content that contains restricted or password-only access pages, or hidden pages or images;
solicit passwords or personally identifiable information from other Users;
delete or alter any material posted by any other person or organization;
harass, incite harassment, or advocate harassment of any group, company, or individual;
send unsolicited mail or email, make unsolicited phone calls, or send unsolicited faxes promoting and/or advertising products or services to any User, or contact any Users who have specifically requested not to be contacted by You;
attempt to interfere with service to any User, host, or network, including, without limitation, via means of submitting a virus to this Site, overloading, flooding, spamming, mailbombing or crashing;
promote or endorse an illegal or unauthorized copy of another person’s copyrighted work, such by as providing or making available pirated computer programs or links to them, providing or making available information to circumvent manufacture-installed copy-protect devices, or providing or making available pirated music or other media or links to pirated music or other media files; or
use this Site for any unlawful purpose or any illegal activity, or post or submit any content that is defamatory, libelous, implicitly or explicitly offensive, vulgar, obscene, threatening, abusive, hateful, racist, discriminatory, of a menacing character or likely to cause annoyance, inconvenience, embarrassment, anxiety, or could cause harassment to any person or include any links to pornographic, indecent, or sexually explicit material of any kind, as determined at DocReviewers.com’s discretion.

Without limiting the foregoing and by way of example only, all Users agree to not:

recruit Users for employment opportunities or the provision of services or products that do not comply with applicable local, national, and international laws and regulations, including but not limited to laws relating to labor and employment, equal employment opportunity and employment eligibility requirements, data privacy, data access and use, and intellectual property;
use the Site in a manner that violates or causes any User to violate the applicable rules, regulations, or guidelines of any legal licensing organization, such as a state bar, of the jurisdiction(s) where You are located, where You are licensed, or where the User is licensed, including but not limited to the unlicensed practice of law or compromising of a User’s professional independence by placing restrictions on that User’s right to practice;
communicate with Users in any form for any reason other than to provide information regarding the provision of services or products or an employment opportunity, such as an upcoming or ongoing e-discovery or document review project or permanent employment, without explicit written permission from DocReviewers.com;
promote, or advertise products or services without explicit written permission from DocReviewers.com;
collect or store Information for any reason, including for marketing or employment purposes, without explicit written permission from DocReviewers.com;
provide Users with links or advertisements for or otherwise promote competitors of DocReviewers.com;
promote any opportunity that does not represent bona fide employment, which is generally indicated by the employer’s use of IRS forms W-2 or 1099; or
provide DocReviewers.com or Users with inaccurate, false, or misleading information.

Violations of DocReviewers.com’s system or network security may result in civil and/or criminal liability. DocReviewers.com will investigate occurrences which may involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting Users who are involved in such violations.

Third Party Services and Products

DocReviewers.com reserves the right to offer third party services and products to You based on the preferences You identify in Your account. Please see DocReviewers.com’s Privacy Policy for further details regarding Information about You and its use by DocReviewers.com and third parties.

Right to Change Pricing

DocReviewers.com reserves the right to change the prices of DocReviewers.com’s products or services at any time without notice.

Restrictions on Contacting Other Users

To protect Users from commercial advertising or solicitation, DocReviewers.com reserves the right to restrict the number of e-mails which Project Hosts, Recruiters, or any third party may send to Users to a number which DocReviewers.com deems appropriate in its sole discretion. You are not permitted to request Users contact You through means other than the Site. Doing so may result in the suspension or termination of Your account or other measures as DocReviewers.com deems appropriate.

Project Hosts, Recruiters, or any third party may not contact Users or request Users contact them through means other than the Site for any purpose other than to provide information about an ongoing project, such as communications about scheduling, the termination of a project or User’s services, or dress code. Communications about prospective opportunities or projects, wages or other compensation, extensions of a project or User’s services, or any other material aspect of a User’s employment, services, or products must be through the Site. Communicating for any reason with any User in a manner that would deprive DocReviewers.com of any actual or potential income, regardless of intent, may result in the suspension or termination of Your account, the charging of appropriate fees, as well as the pursuit of legal, equitable, or other remedies for such actions by You.

Restrictions on Users by You

You agree no User shall be requested to sign or accept any contract, covenant, or agreement containing a non-compete clause or otherwise be restricted in their provision of services or products to any legal or natural person at any time. You also agree that, upon acceptance of these Terms, any such clauses are immediately void and unenforceable if they exist in current or previous contracts between You and any Users and such clauses will be void and unenforceable if they exist in any future contracts between You and any Users.

Restrictions on Accounts

Users are not permitted to create or simultaneously maintain more than one account on DocReviewers.com. If more than one account is associated with User, DocReviewers.com may delete any additional accounts at its own discretion and without notice to User.

No Resale or Unauthorized Commercial Use

You agree not to resell, assign, or delegate Your rights or obligations under these Terms; any such attempt is void. DocReviewers.com may freely assign or delegate its rights and obligations hereunder without notice to You. You also agree not to make any unauthorized commercial use of this Site.

Termination; Deletion of Account

DocReviewers.com may suspend or terminate the access and use of this Site by You as well as delete Your account and its contents, such as Your Profile Information, without notice or liability at its discretion, including if You breach these Terms or if DocReviewers.com is unable to verify or authenticate any Information You submit to this Site.

Upon termination, Your right to use the Site will immediately cease. DocReviewers.com also reserves the right to delete Your account and part or all of Your User Content after a significant duration of inactivity.

If You wish to terminate Your account, You may delete Your account and discontinue using the Site. You understand and acknowledge that if You delete Your account or Your account is terminated, DocReviewers.com may continue to store Your User Content as required by law, for analytics purposes, and to ensure accuracy if Your account is reactivated. In addition, third parties may retain saved copies of Your User Content.

These Terms will remain in full force and effect while You are a User of this Site. Even after You are no longer a User of this Site, certain provisions of these Terms will remain in effect, including, without limitation, licensing provisions, warranty disclaimers, indemnity, confidentiality, and limitations of liability.

Product & Service Restrictions & Conditions

DocReviewers.com will use reasonable efforts to inform You of any applicable restrictions or conditions that may apply to certain products and services on the Site, including posting these restrictions and conditions in these Terms and on the Site as well as making them available upon request.

Saving & Use of User Information

You agree not to save any Information, in part or in whole, in any location except the Site unless explicitly permitted by DocReviewers.com. You shall not request any Information from a User, including but not limited to any information that would be in a User’s Profile Information or Additional Profile Information, or save any such Information or portions thereof if it is provided by a User or another party, regardless of when or how it is provided any location except the Site unless explicitly permitted by DocReviewers.com. Such Information or portions thereof may only be requested from a User, DocReviewers.com, or a third party so You may perform a background check, set up payroll or otherwise enable a User to receive payment, ensure regulatory and tax compliance, or for any reason approved by DocReviewers.com through prior explicit written permission.

At no time shall You request or save any Information related to any User to directly or indirectly solicit such User for services or products, including temporary and permanent employment. You further agree not to directly or indirectly solicit any User to register, sign up, or join You or any other organization or otherwise market products, services, or any other products, tangible or intangible, without obtaining DocReviewers.com’s explicit written permission beforehand.

You agree not to use any Information to supplement or modify a User’s information already on record with You or save any such Information, other than on the Site, if it is provided by a User or another party, whether electronically, handwritten, or any other format.

You agree to contact a User only if they appear in Your search results and then only about the project or the permanent position for which the search has been performed. You will only contact this User through the Site. At no time shall You communicate with a User about a project or permanent position for which they did not appear in the search results, regardless of whether they appeared in previous search results, or contact a User using means other than those provided on the Site.

Restricting Searches

DocReviewers.com, at any time and for any reason, may restrict the number of searches You may perform or the number of results which appear as a result of these searches.

No Prior Notice

DocReviewers.com may offer to You a product or service where You may continuously access a User’s Profile Information on the Site for a one-time fee. Certain actions taken by You will be deemed assent to accept this offer and the resultant fee, including but not limited to violating any of the restrictions outlined in these Terms. Upon violating one or more of these restrictions or taking any other such action indicating acceptance and without prior notice, DocReviewers.com will charge You the fee for permanent access. Additionally, DocReviewers.com may suspend or block Your account as well as the accounts of other Users who are members of Your organization until the violation is cured and You are in compliance with these Terms. DocReviewers.com also reserves the right to pursue legal, equitable, or other remedies for such actions by You.

Likewise, DocReviewers.com may offer to You a product or service where You may recruit a User for permanent employment for a fee. Certain actions taken by You will be deemed assent to accept this offer and the resultant fee, including but not limited to violating any of the restrictions outline in these Terms. Upon violating one or more of these restrictions or taking any other such action indicating acceptance and without prior notice, DocReviewers.com will charge You the fee for permanent recruitment of the User. Additionally, DocReviewers.com may suspend or block Your account as well as the accounts of other Users who are members of Your organization until the violation is cured and You are in compliance with these Terms. DocReviewers.com also reserves the right to pursue legal, equitable, or other remedies for such actions by You.

Placement & Direct

DocReviewers.com may offer to You products or services where You may directly contract with or employ Users. If You select these products or services, You agree to use the Site to track Users’ time and performance. You must also use the Site to remit payment for services performed or products provided; DocReviewers.com will receive and distribute such payments to Users. You agree to timely remit payment in accordance with the date listed on the invoice provided by DocReviewers.com.

These products and services are divided into two classes. Users who contract with or employ other Users on behalf of another party, such as staffing or employment agencies or managed review companies, will be eligible for products and services in one class (“Placement”) by default. Users who contract with or employ other Users directly, such as a law firm or a business entity, will be eligible for products and services in another class (“Direct”) by default. DocReviewers.com may make either of these classes of products and services available to any User at its discretion.

For Placement, You may be charged for each User who has performed work for a project, as indicated by time being recorded towards such project or other methods to determine whether work has been performed. You will be charged regardless of whether this time is recorded by a User or another party tracking User’s time. The amount of time recorded is irrelevant regarding when a charge is incurred; You will be charged the same whether the User works on the project for one minute or one year. Use of the Site to record this time is also irrelevant regarding when or whether a charge is incurred. You will be charged whether the User records their time on this Site (as required), a third party site, or any other means. Also, You will be charged regardless of whether the time recorded for User’s work is billable to a third party.

For Direct, You may be charged for the time recorded by a User or another party tracking User’s time, whether this time is recorded on this Site (as required), a third party site, or any other means. Likewise, You will be charged for any and all time recorded by a User, regardless of whether this time is billable to a third party. Additionally, DocReviewers.com may round up the hours of work performed each day, week, or project to an increment of time (i.e., quarter of an hour) when billing for each User’s work.

Protocol

DocReviewers.com may offer to You a product or service where DocReviewers.com may create a protocol or memorandum to provide instructions to Users for Your project (“Protocol”). If You request a Protocol, You must timely provide to DocReviewers.com all applicable documents and information. You will continue to timely provide any newly available documents and information to DocReviewers.com during the course of the project. You agree You are solely responsible for any charges incurred in obtaining these documents or information. You also agree to fully and accurately answer any questions or requests by DocReviewers.com in a timely manner.

You agree the format and content of a Protocol is the intellectual property of DocReviewers.com. You will not duplicate, replicate, copy, or alter the format or content of a Protocol without prior approval by DocReviewers.com. Upon the completion of any project or when the Protocol is no longer is being used by other Users, whichever comes first, You will destroy any copies of the Protocol in Your possession. DocReviewers.com will keep a record of these Protocols and You may request a copy at any time.

Furthermore, You agree DocReviewers.com bears no liability for any errors in a Protocol or any misinterpretations that may occur as a result of a Protocol. You have the responsibility to review and provide feedback once a Protocol is delivered to ensure its accuracy. DocReviewers.com has sole editorial power and is not required to make any changes You request, even if disregarding such requests results in the Protocol containing a factual inaccuracy.

DocReviewers.com may offer to expedite Your Protocol for an additional fee. If the time period for delivery of an expedited Protocol passes without delivery of such Protocol, then this additional fee will be waived by DocReviewers.com.

Request For Proposal & Bidding

DocReviewers.com may offer to You products or services where You may request proposals from other Users for products or services or You may respond to such requests from other Users.

The expected outcome of this request and response process is the award to a responding User by a requesting User of the exclusive right to enter into contract negotiations. You may participate in this process only if You are a Project Host or Recruiter.

You understand participation in this request and response process is voluntary and no User is under any obligation to purchase from or provide to another User any services or products through this process. Users requesting proposals are not required to provide an award to any other User, have sole discretion over whom to provide the award, and may revoke an award at any time. Likewise, Users responding to a request are not required to provide any services or products and may refuse an award. Neither a request for proposals nor responses to these requests are offers or acceptances. An award is not final unless there is a binding contract between the Users.

You understand this request and response process is meant to be competitive. You agree not to take any actions or make any statements that may be considered anticompetitive or provide an unfair advantage to a User, whether You or another User, such as disparagement of other User or collaborating with other Users to artificially alter prices. DocReviewers.com has the sole discretion to determine whether an activity, behavior, or statement is anticompetitive.

You agree not to attempt to or make any contact with another User outside this Site in regards to a request that has not yet been awarded. If another User attempts to or contacts You outside this Site regarding a request that has not yet been awarded, You must cease all contact with that User regarding the request and report this contact to DocReviewers.com immediately.

If You respond to a request for proposals, You understand and agree any responses You submit must be complete and responsive to this request. Submitting general descriptions of the products and services provided by You is not acceptable and is grounds for the suspension or termination of Your account.

You may only include a link to Your website in Your response to provide additional background information regarding You. No information regarding or responsive to a request for proposal may be provided through a link. Do not provide any links to third parties which You are not part of or do not represent.

You may only submit a response to a request if You are providing the requested products or services. No referrals to other Users or third parties are permitted.

You agree to disclose pricing in Your response to a request for proposal for all products and services as well as any related fees that will or may be incurred by the User making such request. Any pricing You include in Your response must be substantially accurate to allow the User requesting proposals to estimate the potential costs of entering into a contract with You for the requested products and services. DocReviewers.com has the sole discretion to determine whether a difference between the proposed pricing and actual costs is substantial.

If You do not provide a requested product or services, You must explicitly acknowledge that You do not provide such products or services in Your response. If You use a subcontractor or third party to provide any product or services, You must disclose their name and relationship in Your response.

You are strongly encouraged to request any additional information from the requesting User necessary to ensure Your response, including Your pricing, is complete and accurate. You may only contact a User with these inquiries through the Site. You agree to use the Site’s private messaging system to contact the requesting User only if an inquiry is specific to You or contains confidential information or trade secrets. All other inquiries must be made on the Site’s question and answers section to permit other Users to view this information as well as to allow the requesting User to be more efficient when disseminating information related to these inquiries.

Requests for proposals may go through several revisions and new information may be added at any time, either directly in the requests or in the Site’s question and answers section for that request. You have a duty to review any requests to which You are responding as well as its question and answers section prior to submitting Your response and prior to any deadlines for this request to ensure Your response is accurate and responsive to any new information that may have been added.

Provision of Accurate Information & Updating

You agree to provide accurate information to other Users about the products or services for which You are soliciting or being solicited. You are required to update any dates, descriptions, and other data pertaining to the products or services for which You are soliciting or being solicited once new data becomes available or current data is deemed unreliable. If these promotions list any restrictions or conditions, they shall take precedence over all other restrictions or conditions, including those listed in these Terms. If a promotion does not have a stated end date, then it shall be valid for thirty (30) days after issuance by DocReviewers.com.

Holds & Refunds

Any charges paid by You are final and non-refundable unless otherwise determined by DocReviewers.com in its sole discretion. DocReviewers.com, in its sole discretion, reserves the right, but not the obligation, to place on hold or refund any payment or provide credits, or arrange for any third party to do so, upon timely request from You or upon notice of any potential fraud, unauthorized charges, or other misuse of the Site.

Cancellation Fees

You may be charged a cancellation fee if You fail to provide timely notice that You cancelled services or products obtained through the Site and offered by DocReviewers.com or another User, regardless of when such cancellation occurs. This cancellation fee may be provided to a third party, including the User who would have provided or is providing such products or services, or may be kept by DocReviewers.com, in DocReviewers.com’s sole discretion.

Third Party Payment Processing Provider

Payment for any products or services obtained through the Site, as well as related fees and taxes, must be paid and received through the third party Payment Processing Provider (“PPP”) designated by DocReviewers.com. If You are providing products and services to another User through the Site, any payments for these products and services will be issued through the PPP designated by DocReviewers.com. You may be redirected from the Site and directed to the PPP’s site to pay Your invoice.

To set up an account with the PPP, You may be required to register with the PPP, agree to the PPP’s terms of service (“ToS”), and complete the PPP’s screening process. By accepting these Terms, You agree You have reviewed and agreed to the PPP’s ToS and have performed or will perform any actions necessary to set up an account with the PPP.

DocReviewers.com is not a party to the PPP’s ToS. Only You, the PPP and any other parties listed in the PPP ToS are the parties to the PPP ToS. DocReviewers.com has no obligations, responsibility, or liability to any User or other party under the PPP ToS.

DocReviewers.com or the PPP may validate an account before activation to help prevent fraud and safeguard the Site, Information, and other Users from the risk of unauthorized access. A temporary charge may be placed on Your account then refunded within 1-3 business days as part of this account validation. This temporary charge may vary between $0.01 to $5,000.00, depending on the products or services purchased or provided by You.

If You are purchasing products or services through the Site, all charges and payments to DocReviewers.com or another User will be made using the payment method designated in either Your Site or PPP account. If the primary payment method is determined to be expired, invalid, or otherwise not able to be charged, You agree DocReviewers.com may use any available secondary payment method in Your Site or PPP account in its place.

Charges You incur for services or products provided by another User will be owed to that User unless a portion or all of these charges are due to DocReviewers.com. DocReviewers.com, via the PPP, may enable Your payment of the applicable charges for another User’s services or products as that User’s limited payment collection agent. These charges are owed directly to this User and payment of these charges to DocReviewers.com via the PPP shall be considered the same as payment made directly by You to the User. If You are providing products and services to another User, You authorize DocReviewers.com to receive payment for such products and services on Your behalf as Your limited payment collection agent.

You retain the right to request a modification to the charges from the User for services or products received by You from this User at the time You receive such services or products. DocReviewers.com will respond accordingly to any request from such User to modify the charges for a particular service or product to ensure the User is properly compensated for the services or products they provide to You. If You are providing products and services to another User, You have the sole discretion regarding whether to modify the charges for any products or services You provide and the amount of this modification. You also authorize DocReviewers.com to modify any such charges at Your direction.

If a product or service is not provided by another User, charges You incur will be owed and paid directly to DocReviewers.com via the PPP. You retain the right to request a modification to the charges for services or goods received by You from DocReviewers.com at the time You receive such services or products. DocReviewers.com will respond accordingly to any request from You to modify the charges for a service or product. Any such modifications will be made at the sole discretion of DocReviewers.com.

Users are responsible for invoicing You at regular intervals set by DocReviewers.com, even if their work is not complete or is designated as “ongoing,” as well as upon the completion of any work. If You are providing products and services to another User, You are responsible for invoicing this User at regular intervals set by DocReviewers.com, even if Your work is not complete or is designated as “ongoing,” as well as upon the completion of any work. User invoices may be aggregated and provided to You as a single invoice consisting of charges to You for products and services provided by other Users as well as DocReviewers.com.

If You are purchasing products or services through the Site, You will be wholly responsible for paying any invoices issued by DocReviewers.com, including those issued on behalf of other Users, which will include (i) a description of the services or products purchased, (ii) the quantity of each service or product purchased, (iii) the aggregate price of these services or products, (iv) cancellation and other fees, (v) as well as local, state, and other taxes, if applicable. If You are providing products and services to another User, You will be responsible for repaying any erroneous payments, providing refunds, and paying any associated fees or taxes.

If You provided products and services to another User, the amount owed to You by this User will be transferred to You via the method You indicated on Your Site or PPP account. For services or products that are ongoing, these transfers will occur on a periodic basis, the length of which will be set by DocReviewers.com. Once a service is complete or a product has been provided, the remaining amount owed to You will be transferred in two or less periods after You provide the final invoice for these products or services. If payment to You has not been timely remitted, You will be informed of such delay by DocReviewers.com. DocReviewers.com has no control over any User’s payment of invoices and is not liable or responsible for the amount owed by one User to another User.

You may also be charged credit card processing fees equal to between two and nine-tenths to three percent (2.90-3.00%) of the aggregate expense amount. Invoices must be paid within the time period set by DocReviewers.com and stated on the invoice. Overdue invoices may incur interest charges of between one to five percent (1.00-5.00%) of the invoice value, compounded monthly, as set by DocReviewers.com and stated on the invoice. Once payment in full is received by this PPP and DocReviewers.com is informed this payment was received, Your invoice will be considered paid and no additional interest will accrue.

Timekeeping

DocReviewers.com may provide a timekeeping system through the Site for You to track Your billable hours and performance. You agree to use this system to record Your billable hours and performance truthfully and accurately and to submit Your billable hours prior to the end of a payment period to ensure You are properly compensated for these billable hours. DocReviewers.com is not liable if the recorded billable hours are inaccurate, whether due to accident, fraud, or system malfunction, resulting in an underpayment to You or an overpayment to another User. Any such inaccuracies must be settled between You and the other User in the transaction.

Security

You are responsible for safeguarding the login credentials You use to access the Site and for any activities or actions under Your login credentials. You agree not to not share Your login credentials with any other party. You must notify DocReviewers.com immediately upon becoming aware of any breach of security or unauthorized use of Your account.

You may be designated as an administrative user (“Admin”) for Your organization. One of the responsibilities of an Admin is to review and approve Users who claim to be members of Your organization. As such, Admins are solely liable if they approve Users who are not member of their organization and for any damages that occur as a result of such approval, including but not limited to the destruction of organizational records and any breaches of confidentiality or privacy. You agree DocReviewers.com is not liable for any decisions made by Admins or the consequences of such decisions.
